RodGrid Terms of Service

Welcome to RodGrid. By accessing or using RodGrid, you agree to these Terms of Service ("Terms").

RodGrid is a collaborative architecture and planning platform that allows users to create, manage, share, and collaborate on visual Grids, diagrams, notes, and related project content. It also provides an interview product for running technical hiring interviews, in which a candidate invited by a RodGrid customer works on a Grid and the customer receives an evidence-based scorecard. Some features described below may be available only when enabled or in a future release.

If you do not agree to these Terms, do not use the service.

1. Service Operator and Scope

RodGrid Software is the registered business name under which Rodrigo Aires de Oliveira, an individual sole proprietor based in New Brunswick, Canada, operates RodGrid. RodGrid Software is not a corporation or a legal entity separate from its owner. In these Terms, "RodGrid," "we," "us," and "our" refer to Rodrigo Aires de Oliveira, carrying on business as RodGrid Software. A separate legal entity may be formed in the future; if the operator changes, these Terms will be updated to reflect it.

These Terms apply to RodGrid websites, dashboards, editors, collaboration features, APIs, and related services that link to these Terms.

2. Eligibility

RodGrid is intended for professional or business use and is not intended for minors.

You must be at least 13 years old to use RodGrid.

By using the service, you confirm that:

• you can legally enter into agreements;
• the information you provide is accurate;
• you will use the platform responsibly and lawfully;
• anyone you invite to a Grid or an interview also meets these requirements — RodGrid cannot check who is behind an invitation you send, so that is yours to confirm.

3. Accounts

To access certain features, including creating or joining Grids, you must create or use an authenticated account.

You are responsible for:

• maintaining the security of your account;
• keeping your credentials confidential;
• all activity occurring under your account.
• You must notify RodGrid immediately if you suspect unauthorized access.

4. User Content

You retain ownership of the content you create and upload to RodGrid, including:

• Grids;
• diagrams;
• future specifications or project documents when those features are enabled;
• prompts and generated outputs if AI features are enabled;
• notes;
• shared collaboration content.

By using RodGrid, you grant RodGrid a limited license to host, store, process, transmit, display, and back up your content solely for the purpose of operating, securing, supporting, and improving the service.

5. Export and Deletion

Where supported, users may export Grid content in supported formats before deleting a Grid or account.

When a Grid, account record, or related content is deleted, active service deletion normally begins immediately and may take up to 30 days to complete across active systems.

Residual copies may remain in backups, logs, cache layers, or security records for up to 90 days unless a longer period is required for security, abuse prevention, legal compliance, or dispute resolution.

These backup and log retention windows describe routine retention targets and do not guarantee that deleted content can be restored.

6. Private and Shared Grids

Grids are private by default. Nothing you create becomes visible to anyone else unless you decide to share it.

You may choose to share a Grid with other people. Depending on what you choose, that can mean inviting named collaborators with view, edit, or admin access; creating a view link that anyone holding the URL can open without a RodGrid account; or embedding a Grid in an external page such as a wiki, document, or repository. Each of those is a decision you make about your own content, and RodGrid carries it out.

You are responsible for:

• what you share, with whom, and at what access level — including that an edit or admin collaborator can change or delete work, and that a public view link or embed can be opened by anyone who obtains the URL, forwarded by them, and indexed or cached by systems outside RodGrid's control;
• reviewing and revoking access when it is no longer appropriate, including after someone leaves your team or project;
• everything the people you invite do with what you gave them access to;
• not uploading confidential or restricted information you do not have the right to share.

Sharing is not reversible in the way deletion is: once someone has opened a Grid you shared with them, RodGrid can revoke their future access but cannot recall what they already saw, copied, exported, or forwarded. Treat granting access as disclosure.

7. Your Content and Other People's Information

You are responsible for the content you put into RodGrid, including content you invite others to see. By uploading or sharing content, you confirm that you have the right to do so.

That extends to information about other people. If you put personal information about someone else into a Grid, a comment, a note, an interview, or anything else on RodGrid — a colleague, a client, a candidate, a third party — you are responsible for having a lawful basis to hold and share it, for telling them if the law requires you to, and for honouring any request they make about it. RodGrid stores and processes it on your instruction; it does not become RodGrid's to decide about, and RodGrid is not in a position to know whose information it is or what you agreed with them.

The same applies to confidential or regulated material. RodGrid is a general-purpose planning tool and is not designed or certified for regulated categories such as health records, payment card data, government identifiers, or classified information. Do not put them here.

8. AI Features

RodGrid offers AI-assisted features, including specification and PRD generation, diagram generation, drafting assistance, summaries, evaluations, recommendations, and other generated outputs.

AI-generated content:

• may contain inaccuracies;
• may be incomplete;
• may produce unexpected or incorrect results.

You are solely responsible for reviewing and validating AI-generated output before relying on it.

RodGrid does not guarantee the accuracy, completeness, or suitability of AI-generated content.

AI features are provided using OpenAI as RodGrid's third-party AI provider. When you use an AI feature, the relevant prompt and Grid content are sent to that provider to generate the requested output.

Every AI output in RodGrid is labelled as AI-generated or AI-assisted where it appears, and states what it was produced for.

9. Challenges and Practice Feedback

Challenge scores, hints, stage check-ins, defense questions, and written feedback are AI-generated practice feedback, produced to help you learn.

Challenge output is not:

• a certification or qualification;
• an examination or a professionally validated assessment instrument;
• an admissions decision or an input to one;
• a hiring decision, or an assessment of a person's suitability for employment.

A shared or public challenge record presents AI-graded practice scores and is labelled as such. You may share your own record, but neither RodGrid nor you may present it as a certification or as a validated measure of professional ability.

Scores are comparable only to other RodGrid challenge attempts graded in the same tier, and are not equivalent to any external standard, qualification, or benchmark.

10. User Responsibility

RodGrid is a planning and collaboration tool. Users are solely responsible for validating technical, architectural, security, and business decisions derived from RodGrid content or AI-generated output.

RodGrid content should not be treated as professional engineering, security, legal, financial, or business advice without appropriate independent review.

11. Interviews and Candidate Data

If you use RodGrid to interview or assess another person, you are the employer or hiring party in that relationship and RodGrid is the tool you chose to run it with. That distinction decides who is responsible for what, and this section states it so neither of us has to guess later.

You are responsible for:

• having a lawful basis to invite a candidate and to assess them, and giving them any notice or obtaining any consent your jurisdiction requires beyond the disclosure RodGrid shows them;
• who you invite, what you ask, what you enable (including email verification and how long the session and its recording are kept), and everything you do with the result;
• the hiring decision itself, and any communication with the candidate about it — RodGrid never contacts your candidates about an outcome;
• responding to that candidate if they ask to see, correct, or delete what was collected in your interview, and instructing RodGrid where you need us to act on it;
• complying with the laws that apply to you as an employer, including any that govern automated or AI-assisted assessment of candidates in your jurisdiction and theirs.

RodGrid's role is to run the session you configured and to hand you the result. We do not decide the outcome of your interview, we do not rank or recommend candidates, and we do not use your candidates' data for our own purposes or to make our own decisions about them. Our AI scorecard is advisory: it reports what it observed, it never produces a hire or no-hire recommendation, and a person at your organization makes the decision.

Answering your candidate is your obligation, not RodGrid's. If a candidate contacts RodGrid directly about their data, we will forward the request to you and leave it with you; we do not answer on your behalf, do not decide what happens to your interview, and do not act on your candidate's data without your instruction. RodGrid can technically reach the data — it is stored on our systems and we secure it, which is our obligation and not a claim that we cannot see it — but being able to reach it is not authority to act on it.

You agree to indemnify and hold RodGrid harmless against claims brought by a candidate arising from how you ran an interview, what you asked, the decision you made, or your failure to meet an obligation in this section.

See the "Interview Candidates" section of the Privacy Policy for what is recorded and how the same split is described to the candidate.

12. If You Use RodGrid Without an Account

Some parts of RodGrid can be used without signing up: taking an interview you were invited to, opening a Grid someone shared with you, and trying the product in a temporary sandbox. If that is how you are here, only this section applies to you. The rest of these Terms governs the relationship between RodGrid and its account holders, and you are not a party to it — you did not sign up, you are not being charged, and nothing here gives RodGrid any claim on you beyond what this section says.

By continuing, you agree to the following, and only the following:

• you will not misuse the platform, interfere with its security, upload malicious code, attempt access you were not given, or use it unlawfully;
• anything you create belongs to you, and you confirm you have the right to upload it — including any information about other people you put into it;
• RodGrid is provided to you as is, with no warranty of any kind, and RodGrid is not liable to you beyond the limits in "Limitation of Liability" above;
• whoever invited you — the employer running your interview, or the person who shared a Grid with you — is responsible for that relationship, for what they asked of you, and for what they do with the result. RodGrid provides the software and is not part of it.

Nothing in this section affects your privacy rights or takes anything away from you that the law gives you. What RodGrid records and how to exercise those rights is in the Privacy Policy — see "Interview Candidates" if you were invited to an interview, or "If Someone Shared a Grid With You" if you opened a shared Grid.

13. Acceptable Use

You agree not to:

• misuse the platform;
• interfere with system integrity or security;
• upload malicious code;
• attempt unauthorized access;
• use the service for unlawful purposes;
• upload content that infringes intellectual property rights;
• abuse collaboration or sharing features;
• harass, threaten, defame, discriminate against, or impersonate another person, whether through Grid content, comments, notes, names, invitations, or an interview;
• use invitations, shared Grids, or any other RodGrid feature to send unsolicited messages, or to contact someone who has asked you to stop;
• upload personal information about someone else without a lawful basis, or use RodGrid to collect information about a person in a way they have not been told about;
• reverse engineer or exploit the platform.

RodGrid reserves the right to suspend or terminate accounts that violate these Terms.

If someone is using RodGrid against you — content about you, an unwanted invitation, or anything else — report it to [email protected]. RodGrid does not monitor or pre-screen what users create, and does not review shared content unless a report or a security signal brings it to our attention, so a report is what makes action possible.

14. Conduct Between Users

RodGrid provides the platform. It is not a party to the relationship between you and anyone you collaborate with, invite, interview, employ, contract with, or otherwise deal with through it. You choose who to bring in, what to give them access to, and what to do with what they produce.

RodGrid is therefore not responsible for what other users do — what they upload, how they behave toward you, what they do with content you shared with them, or what they do with information you provided. Equally, RodGrid is not responsible to anyone else for what you do with the platform.

Anything users exchange, share, or disclose to each other through RodGrid — Grid content, comments, notes, files, invitations, interview material, and whatever they say or agree between themselves — is theirs, and responsibility for it sits entirely with the users involved. RodGrid transmits and stores it because they asked it to. It is not RodGrid's information, RodGrid did not choose who receives it, and RodGrid makes no representation to anyone about it.

Disputes between users are between those users. RodGrid does not mediate them, does not investigate them, does not gather or produce evidence for one user about another, and does not adjudicate who was right. RodGrid may, but is not obliged to, act on a report, remove content, or suspend an account, and doing so in one case creates no obligation to do so in another. We cannot restore a relationship, a project, or a decision that went wrong.

Two things are not covered by the paragraph above, and RodGrid does handle them: content or conduct that breaks these Terms, and a legally valid order or request that binds RodGrid directly. Everything else — including a request for another user's information, or for a record of what someone did — goes through the person you are actually in a dispute with, or through a lawful process, not through our support inbox.

This section does not reduce what RodGrid is responsible for in its own right: operating the service, keeping the data entrusted to it secure, and meeting the obligations described in the Privacy Policy. If content is lost or exposed because RodGrid failed, that is ours. If it is lost or exposed because of a choice a user made — who to invite, what access to grant, what link to send, what to upload — that is theirs.

15. Indemnity

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Rodrigo Aires de Oliveira, carrying on business as RodGrid Software and anyone acting on RodGrid's behalf against claims, damages, losses, liabilities, and reasonable legal costs arising from:

• content you upload, share, publish, or embed, including any claim that it infringes someone's rights or was not yours to share;
• personal information about another person that you put into RodGrid, including any claim by that person and any regulatory action concerning it;
• who you gave access to, what they did with that access, and how you conducted yourself toward other users;
• how you used RodGrid to interview, assess, employ, or contract with someone, as described in "Interviews and Candidate Data";
• your breach of these Terms or of any law that applies to you.

RodGrid will tell you about a claim covered by this section within a reasonable time, let you control the defence of it where you accept responsibility, and cooperate with you at your expense. You may not settle a claim in a way that imposes an obligation or admission on RodGrid without our agreement.

This section does not apply to a claim caused by RodGrid's own failure to meet its obligations under these Terms or the Privacy Policy.

16. Plans and Billing

RodGrid offers a free plan and paid products: Pro and Premium (personal diagramming, AI features, and practice — Premium adds sharing and real-time collaboration), and the Engineering Interview Platform (running candidate interviews). They are sold separately and either may be purchased on its own. Plan names, limits, and feature access may change over time.

Paid plans renew automatically for the same period unless canceled before the renewal date; you can cancel at any time from your account. Canceling stops future renewals and your access continues until the end of the period you have already paid for.

AI credits: paid plans include a monthly AI-credit allowance that refreshes at the start of each billing month; unused included credits do not carry over to the next month. New accounts also receive a one-time welcome grant of AI credits, which is not on a monthly schedule and does not refresh. Some plans additionally include a separate monthly practice-credit allowance, which can only be spent on practice and challenge features and does not add to your general AI-credit balance. AI credits you buy separately as one-time packs are not on a monthly schedule and stay on your balance until used, on any plan where a feature is available to you, for as long as your account remains open and RodGrid continues to operate the service. When you run an AI feature, your included monthly allowance is used first, and your welcome grant and purchased credits are drawn on only after it is used up. Unused credits of any kind have no cash value and are forfeited without compensation if your account is closed or terminated, or if RodGrid discontinues the service.

Interviews: the Engineering Interview Platform is sold in interviews, not in AI credits. Your plan includes a number of interviews for each billing period — a monthly plan grants them each month, and an annual plan grants them once for the whole term — and you may buy additional interviews separately, which do not expire. One interview covers running that interview end to end, including its emails, session recording and one AI scorecard; optional AI actions beyond what an interview includes are charged to your AI credits at their normal price.

An interview is reserved when you schedule or send it, which is when it is deducted from your balance. If it is cancelled or its deadline passes and the candidate never accessed it, the interview is returned to the balance it came from — so an interview taken from a monthly allowance that has since ended is not restored, exactly as an unused allowance is not, while an interview you purchased separately is always returned. Once the candidate has accessed it, the interview has been used and is not returned, whether or not you request the scorecard. If a scorecard cannot be produced for technical reasons, you may retry it at no additional charge.

Payments are processed by Paddle (Paddle.com Market Limited), which acts as the merchant of record and reseller for RodGrid subscriptions and add-ons. Paddle handles checkout, billing, invoicing, and any applicable sales tax or VAT. By purchasing, you also agree to Paddle's buyer terms.

RodGrid does not receive or store raw payment card numbers; card data is handled entirely by Paddle.

Refunds: subscriptions are non-refundable, whether billed monthly or annually, and this applies equally to Pro, Premium, the Engineering Interview Platform, Enterprise, and any add-ons. Canceling stops future renewals only — your access continues until the end of the period you have already paid for, after which your account returns to the free plan. One-time AI credit and interview purchases are non-refundable once used; if such a purchase is refunded, any unused credits or interviews from it are forfeited.

Nothing in this section limits any refund right you cannot waive under applicable law (for example, an applicable statutory cooling-off period that you have not waived and where the service has not already been fully provided). Refunds are issued to your original payment method through Paddle.

When you start a paid plan, you may be asked to confirm that you want immediate access to the service and, where permitted by law, to acknowledge that beginning to use the service straight away may limit or waive an applicable statutory cooling-off cancellation right once the service has been provided. We record this acknowledgement, together with its date, as part of your order.

17. Third-Party Services

RodGrid integrates with or relies on the following third-party services:

• Cloudflare for hosting, storage, networking, security, and cookieless usage analytics;
• GitHub and Google for OAuth sign-in;
• Cloudflare Turnstile for bot and abuse protection, where enabled;
• Paddle for payment processing, as merchant of record;
• OpenAI for AI-assisted features;
• Resend for transactional email (such as interview invitations).

RodGrid is not responsible for outages or issues caused by third-party providers.

18. Availability

RodGrid is provided on an "as is" and "as available" basis.

We do not guarantee uninterrupted availability, error-free operation, permanent storage of content, or compatibility with all devices or browsers.

Features may change, evolve, or be discontinued at any time.

19. No Warranty

To the maximum extent permitted by law, RodGrid disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and security.

RodGrid does not warrant that the service, exports, shared links, integrations, collaboration state, or future AI-generated output will meet your requirements or be uninterrupted, secure, accurate, complete, or error-free.

20. Limitation of Liability

To the maximum extent permitted by law, RodGrid shall not be liable for:

• indirect, incidental, special, consequential, or punitive damages;
• loss of profits, revenue, goodwill, or anticipated savings;
• loss of data;
• business interruption;
• AI-generated inaccuracies;
• collaboration-related issues;
• the acts or omissions of other users, including anyone you invited, anyone who obtained access to content you shared, and anyone you interviewed, employed, or contracted with through RodGrid;
• a decision you made — technical, architectural, commercial, or about a person — informed by RodGrid content or output;
• unauthorized access caused by user negligence, including access by someone you gave a link or credentials to.

To the maximum extent permitted by law, RodGrid's total aggregate liability for all claims relating to the service in any twelve-month period is limited to the greater of the amount you actually paid RodGrid for the service in the twelve months before the claim arose, or one hundred Canadian dollars. Where you use RodGrid on a free plan, the second figure applies.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under mandatory consumer protection law in your jurisdiction. Where a limitation in this section is unenforceable against you, the rest of it still applies.

Your use of RodGrid is at your own risk.

21. Intellectual Property

RodGrid, including its branding, platform, interface, software, and visual identity, is protected by intellectual property laws.

You may not copy, reproduce, distribute, or resell RodGrid without authorization.

22. Intellectual Property Reports and Takedowns

If you believe content on RodGrid creates claimed copyright or intellectual property infringement, contact [email protected] with enough information for RodGrid to evaluate the report.

A report should include identification of the allegedly infringing content, a description of the rights you claim are infringed, your contact information, and a good-faith statement that the use is not authorized.

RodGrid may remove or disable access to content, restrict accounts, or terminate repeat infringers where appropriate. False or abusive takedown reports may result in account action.

23. Termination

RodGrid may suspend or terminate access to the service at any time if:

• these Terms are violated;
• abuse is detected;
• security concerns arise;
• legal obligations require action.

You may stop using RodGrid at any time.

24. Assignment

You may not assign or transfer your rights or obligations under these Terms without RodGrid's prior consent.

RodGrid may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, financing, reorganization, or sale of all or part of its assets. These Terms bind and benefit each party's permitted successors and assigns.

25. Governing Law and Disputes

These Terms are governed by the laws of the Province of New Brunswick, Canada, together with the federal laws of Canada that apply there, without regard to conflict-of-laws principles. The courts located in the Province of New Brunswick, Canada have exclusive jurisdiction over disputes arising from these Terms.

Where applicable, mandatory consumer protection laws in your own jurisdiction may still grant you rights and remedies that these Terms cannot override.

26. Changes to These Terms

These Terms may be updated periodically. When we do, we revise the "Last updated" date and post the updated Terms here.

For minor or non-material updates, continuing to use RodGrid after they take effect constitutes acceptance of the revised Terms.

For material updates, we may notify you (for example, by email or an in-app notice) and ask you to review and accept the updated Terms before continuing to use RodGrid. Until you accept, your access to the service may be limited or suspended. This does not affect your ability to exercise your data-protection rights, including exporting or deleting your data, which you can request at [email protected].

If a material update prevents you from continuing to use a plan you have prepaid and you choose not to accept it, you may cancel and receive a refund of the part of that prepayment you have not yet used, rather than the no-refund rule in "Plans and Billing." This does not apply where access is suspended because you violated these Terms.

"Not yet used" means what is still available to you, not simply how much of the period is left. Where a plan grants a quantity of something — interviews, AI credits, or any other allowance — the refund reflects how much of that quantity remains unused, and where a plan is priced purely for access over time, it reflects the time remaining. If both apply, the refund is calculated on whichever of the two is lower.

In practice this means an annual plan whose allowance you have already spent may have little or nothing left to refund, even early in the term. For example, if you buy an annual interview plan and use every interview it grants in the first month, you have received what you paid for; declining an update at that point ends future renewals but leaves nothing outstanding to return.

Declining an update does not erase what you have already produced. Grids, interview results, scorecards, and recordings created before you declined remain available to you for export or deletion, and separately-purchased items that do not expire — such as AI credit packs and additional interviews — are not cancelled by your decision to decline. If you then close your account, the forfeiture rule in "Plans and Billing" applies as it would to any closure.
